Subject to these Terms of Service (this "Agreement"), PrivyBear.com ("PrivyBear", "we", "us" and/or "our") provides access to PrivyBear's cloud platform as a service (collectively, the "Platform"). By using or accessing the Platform, you acknowledge that you have read, understand, and agree to be bound by this Agreement.

If you are entering into this Agreement on behalf of a company, business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the term "you" shall refer to such entity. If you do not have such authority, or if you do not agree with this Agreement, you must not accept this Agreement and may not use the Platform.

1. Acceptance of Terms

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

2. Use of the Platform

a. Eligibility: You must be at least 18 years old to use the Platform.

b. Access: You are responsible for obtaining and maintaining any equipment, hardware, or software necessary to access and use the Platform.

c. User Account: To use certain features of the Service, you may be required to create a user account. You agree to provide accurate and complete information during the registration process and to keep your account credentials confidential. You are solely responsible for all activity that occurs under your account.

3. Payment and Subscription

a. Subscription Plans: PrivyBear offers various subscription plans, each with its own pricing and features. You agree to pay all fees associated with your selected plan.

b. Billing: Subscription fees will be billed on a recurring basis according to your selected plan. All payments are non-refundable unless otherwise specified.

c. Changes to Pricing: PrivyBear reserves the right to change the pricing and features of its subscription plans. Notice of any changes will be provided in advance.

4. Intellectual Property

a. Ownership: PrivyBear retains all right, title, and interest in and to the Platform, including all intellectual property rights.

b. License: PrivyBear grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose.

5. Content and User Data

a. Your Data: You retain ownership of any data or content you upload, transmit, or store on the Platform. PrivyBear will not access or use your data except as necessary to provide the Service.

b. Content Restrictions: You agree not to upload, transmit, or store any content that violates applicable laws or infringes upon the rights of others.

6. Privacy

Our Privacy Policy governs the collection, use, and sharing of your personal information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

7. Termination

PrivyBear may, at its discretion, terminate your access to the Service for any reason, including violation of these Terms. Upon termination, your data may be deleted, and you will no longer have access to the Platform.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. PRIVYBEAR DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIVYBEAR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF YOUR USE OF THE PLATFORM.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.

11. Changes to Terms

PrivyBear reserves the right to update these Terms at any time. Changes will be posted on the PrivyBear website, and your continued use of the Platform after such changes constitute your acceptance of the revised Terms.
